General provisions
1. This Agreement is a legally binding agreement between the Users and the site Administration, the subject of which is the provision by the Site Administration to the User of the right to use the Site and its services. When the User uses the services of the Site, this Agreement complements the individual relevant supply contracts, the provision of services with each specific User and is an integral part of them.
2. This Agreement is a public offer in accordance with article 437 of the Civil code of the Russian Federation. The user is obliged to fully read this Agreement before registering on the Site. User registration on the Site means full and unconditional acceptance by the User of the terms of this Agreement and the obligation to comply with them in accordance with article 438 of the Civil code of the Russian Federation. By accessing the materials and services of the Site, the User is deemed to have acceded to this Agreement without any restrictions and exceptions and acceptance of its terms.
3. the site Administration reserves the right at any time to make changes to the content of this Agreement unilaterally without notice to the User. These Terms are an open and publicly available document.
4. Continued use of the Site by the User after making changes and/or additions to these Rules means acceptance and consent of the User with such changes and/or additions.
5. the User is personally responsible for checking this Agreement for any changes to it.
6. the site Administration has the right to record telephone conversations in order to monitor the quality of execution of Orders of Buyers.
Definitions of terms
1. the Following terms used in this Agreement shall have the following meaning:
  1. site – a collection of logically related web pages in the information-telecommunication network "Internet", having the domain name galacentre.ru containing trading platform GALA Center, owned by LLC "PLATFORM HZ" (INN 6671092709, bin 1196658006412).
  2. Site Administration – authorized, OOO "PLATFORMA HZ" on the implementation of actions to manage the Website.
  3. site User – participants involved in the process of purchase and sale of Goods: Suppliers, Official partners, Customers registered on the Site in accordance with the procedure established by this Agreement, and which operates on the Site through its representative, approved by this legal entity/individual entrepreneur in accordance with the legislation of the Russian Federation for the acceptance of these Rules and has the appropriate authority to take legal action.
  4. Trading platform GALA Center – an online resource in the form of a trading platform containing a list of Goods offered for sale with a description and an image, providing information interaction and combining in one information and trading space of large Suppliers and wholesale Buyers (Customers); intended for the wholesale of goods offered by Suppliers, by placing Orders by customers through the "Basket" tab on the Website. The GALA Center trading platform has regional representatives in different regions of Russia.
  5. Product – presented on the trading platform GALA Center for the purpose of wholesale To customers non-food products of the following assortment list: car accessories, household chemicals, haberdashery, home and garden goods, pet products, gifts and Souvenirs, utensils for cooking and storage of food and table setting, plumbing, goods for children, goods for sports, recreation and fishing, household goods, kitchen accessories, bathroom accessories, baths and shower, tools and accessories: locksmith, painting, finishing, measuring, garden, power tools, household goods and cleaning goods for the car, accessories and hardware, Christmas goods, stationery, electrical goods, textiles, hosiery, games and toys, watches, photo frames, scales, cosmetics, perfumes, hygiene products, parapharmaceuticals, medical products, diagnostic devices, other non-food products.
  6. Suppliers of Goods - the legal entities making purchase of large parties of different types of groups of goods (Goods) from foreign and Russian producers/manufacturers of goods, and also letting out Goods under own brands, and offering Goods to wholesale through the Trading platform GALA Center.
  7. Customers – buyers Of Goods that are legal entities or individual entrepreneurs of all forms of business (large, medium, small), producing wholesale purchase of Goods by processing Applications for Goods on The trading platform GALA Center for use in business or for other purposes not related to personal, family, home and other similar use.
  8. Official partners Of the trading platform GALA Center – individual entrepreneurs who have the certificate of the Official partner of the trading platform GALA Center, carrying out the execution of customer Orders for the supply of Goods by concluding supply contracts between the Partner and the Supplier and between the Partner and the Client.
  9. Application – the client's application for the supply of Goods, issued through the Website on the page "Basket" or through the mobile application GALA Center, the program GALA Catalog containing the name and TIN of the Buyer, information about the Product (name, article, quantity, unit price and total cost), the method of transfer of Goods (pickup or delivery) and other conditions provided by the Application form.
  10. Gala catalog – the program containing the full list of the goods presented on the trading platform GALA Center formed in the form of the separate file with indication of information on Goods (the name, quantity, the unit price), and having function on registration of Applications of Clients.
  11. Materials - advertising and/or informational materials provided by Suppliers containing comprehensive information about the range, prices, characteristics, availability of goods (services) offered by the Customer, as well as images, descriptions, certificates of conformity and other information agreed by the Parties about the customer's product offerings.
Information interaction. Interaction requirements
1. Information interaction on The trading platform GALA Center between users of The Site provides the ability to:
  1. Clients:
    - get full information about the Product, including its image, necessary for the correct selection of Goods for the purpose of its purchase.
    - place an Order for the supply of Goods on the Website via the "shopping Cart" tab, via the GALA Center mobile app or the Gala Catalog.
    - remote interaction with the Official Partner for the purpose of execution of the Application by means of telephone communication by multichannel single phone of the GALA Center Trading platform, exchange of electronic messages.
  2. Suppliers:
    - post information about the products they offer for sale.
    - include the Product in the Gala catalogue.
    - sell the Goods to Customers.
2. the site Administrator provides:To ensure the implementation of the capabilities of Customers and Suppliers
  - timely placement of the information on Goods and other information provided by Suppliers on the Website.
  - includes suppliers ' Goods in the Gala catalogue and ensures its updating.
  - places the Gala catalogue on the Website.
  - provides the availability of technical capabilities to form an Application on The trading floor of the GALA Center through the web page "Basket", the Gala Catalog, the mobile application GALA Center.
  - carries out search, selection of performers of Applications of Clients, issues them the certificate of the Official partner of The trading platform GALA Center and concludes cooperation agreements with them for ensuring execution of Applications of Clients.
  - ensures timely execution of clients 'Applications: accepts Applications, appoints an Official partner for the execution of Applications, transmits clients' Applications for execution to the Official partner, informs Suppliers and Customers about the contractor of the Application (name, contact details of the Manager of the Official partner).
  - provides availability of technical possibility to make payment for the ordered Goods, by means of payment cards.
  - develops a system of discounts on Products for Customers depending on the volume of purchased Goods and places information on the Website.
  - carries out actions and other actions for the purpose of stimulation of sales of the Goods placed on the Website, independently defines conditions of such actions, including the price of Goods.
  - provides technical (round-the-clock operation, serviceability and support of the Site, the performance of all its components, etc.) and information administration of the Site (regular updates, adding news, new articles, updating product information based on the materials of Suppliers, etc.).
  - provides consultations to Customers through its regional representatives on the products presented on the Website, terms of delivery, sales organization, and other issues under this Agreement.
  - receives information from Users of the Site about possible problems that have arisen in the course of interaction, and takes the necessary measures to solve them.
  - conducts checks on customer complaints on the facts of violation by Suppliers, Official Partners of the terms of the User agreement and other obligations in the execution of customer Applications.
Terms of use
1. All rights to the Site as a whole and to use the network address (domain name) www.galaсentre.ru belong to LLC "PLATFORM HZ". The site administration provides access to the Site to all interested parties in accordance with this Agreement and the current legislation of the Russian Federation.
2. the Content of the Site may not be copied, published, reproduced, transmitted or distributed in any way, or posted on the Internet without the prior written consent of the site Administration.
3. the Name of the Site, the Trading platform, the content of the Site (including materials, information, photographs, illustrations, names, logos, etc.) are the property of LLC "PLATFORM GC" and/or its suppliers and manufacturers of Goods, protected by copyright law, trademark law, as well as other rights related to intellectual property.
4. Purchase of Goods offered by the trading platform GALA Center is carried out after registration of the Client on the Website and creation of the client's account.
  User registration on the Site is free and voluntary. After registration of the Client on the Site, the Client gets access to the resources of the Site for the formation of an Application for the supply of Goods. In the implementation of Applications for the supply of Goods customer identification will be made on the account specified during registration of the Customer. If the User proves otherwise, any actions committed using the login and password are completed by the respective User.
  Customer registration is made in the form offered by the Site. When registering, the Client specifies the following information: name, TIN, city of location of the legal entity or individual entrepreneur, contact phone number and name of the contact person, username, email, password.
  After completing the registration process on the Site, Users are assigned a unique user name and password.
  After registration of the Application data on the order and the Client are recorded in the database of the site Administration.
5. the website User is personally responsible for maintaining the confidentiality of the account information, including the password, as well as for all activities carried out on behalf of the website User account.
6. site Users undertake not to disclose to third parties the login and password specified during registration. The site user shall immediately notify the site Administration of any unauthorized use of his / her account or password or any other breach of security.
7. For the purpose of registration of the Application on the Site, as well as for the proper execution of The contracts concluded by the users of the Site, Users (representatives) give consent to the site Administrator to process their personal data that they provide when registering on the Site.
  The contact persons of the website Users are aware and agree that in order to conclude and execute Contracts, as well as in cases provided by law, the personal data of such persons may be transferred by the website Administration on the terms of confidentiality to third parties.
8. the website User is responsible to third parties for the accuracy of the information provided when registering the User on the Website, as well as when ordering.
9. the site Administration is not responsible for the content and accuracy of the information provided by the site Users during registration.
10. If the Administration has reason to believe that the information provided by the User about the organization, which he represents is not true, his access to the Site may be temporarily limited. If it is established that false information was provided at the time of registration, the User's registration may be cancelled and the account deleted.
11. by Signing this Agreement, the Users of the Site guarantee that they have the necessary legal capacity, as well as all the rights and powers necessary and sufficient for the conclusion and execution of the Contract for the supply of Goods and other contracts.
12. the site Administration has the right to unilaterally cancel the client's account without notifying the Client if it has not been used for more than 6 consecutive calendar months.
13. the site Administration has the right to place on any page of the Site, including on the same page with the user's materials, advertising and information messages without obtaining the user's consent. The user is not responsible for the content of other materials (advertising, information) posted by the site Administration at its discretion.
14. the site Administration has the right to limit the availability for sale (delivery) of certain types of goods due to the existing ban of the manufacturer (seller) in its implementation in a certain territory or to certain persons. The user agrees to this paragraph and will not make claims to the Supplier, Partner or Administration of the Site in this part.
15. the site Administration also has the right to limit the user's right to use the services in case of repeated or malicious violation of the terms of this Agreement by such User.
16. This Agreement applies to all additional terms, applications and conditions for the purchase of Goods and services provided on the Site.
17. the site Administration has the right at any time without notice to Users to make changes to the list of Goods offered on the Site, the prices of Goods, the system of discounts on Goods.
product Information
1. All information materials presented on the Site are for reference only and cannot fully convey accurate information about the properties and characteristics of the Goods, including colors, sizes and shapes. If the Client has any questions regarding the properties and characteristics of the Goods, before making an Application, the Client should seek advice from the Official partner of the Trading platform through the site Administration by filling out the feedback form on the Site.
2. Information about the Product, including its operating conditions and storage rules is communicated to the Client by placing on the Product, on the container, packaging, label, etiquette, in technical documentation or in any other way established by law.
3. Information on obligatory confirmation of conformity of Goods is provided in the order and in the ways established by the legislation of the Russian Federation on technical regulation and includes data on number of the document confirming such compliance, on the term of its action, on the organization which issued it.
Basic conditions for Ordering Goods on The GALA Center trading platform
1. The buyer of Goods on The trading platform GALA Center can be a person who meets the following requirements at the same time:
  - is a legal entity or individual entrepreneur;
  - makes the purchase of Goods on The trading platform GALA Center wholesale (small, medium or large);
  - purchases Goods for use in business or for other purposes not related to personal, family, home or other similar use.
  - passed the registration procedure on the Website and has its own account;
  - accepts the terms of this Agreement and complies with its provisions.
2. the Minimum amount of the Application for the supply of Goods is 10,000 (Ten thousand) rubles.
Basic terms of delivery of Goods purchased through The trading platform GALA Center
1. the Goods purchased by Customers through the GALA Center Trading platform must be new (goods that have not been used, have not been repaired, including restoration, replacement of components, restoration of consumer properties), not previously used, free from any claims of third parties, are not under prohibition (arrest), pledged.
2. Delivery of Goods at the Request of Customers is made by the Official partner Of the trading platform GALA Center on the basis of the contract for the supply of Goods concluded between the Client and the Official partner of the Trading platform GALA Center.
  The conditions necessary for the execution of the Application shall be agreed in the supply contract and in the manner prescribed by it.
3. the Maximum delivery time of the Goods shall not exceed 5 (five) working days from the date of receipt of 100% advance payment of the Goods by the Buyer.
4. Delivery of Goods is carried out on the terms:
  1. self-delivery of Goods from warehouses located in Yekaterinburg, Moscow, Novosibirsk.
  2. delivery of Goods to the Buyer:
    - at the address specified by the Client in the Application;
    - to the warehouse in a convenient location for the Client.
  3. on other terms and conditions agreed between the Official partner of the Trading platform and the Client.
5. Payment for the Goods is made by the Client on the terms of full prepayment.
6. supply Contracts concluded between Customers and Official partners of the GALA Center Trading platform may contain terms of delivery, delivery, payment procedure that are different from the provisions of this Agreement and apply to the delivery of a specific batch.
7. Payment of the Goods by the Customer is made at the cost of the Product subject to the discounts listed on the Website.
Obligations of the site Administration
1. the Client has the right to apply to the Administration of the Site with statements of violation of his rights, admitted by Suppliers or Official partners Of the trading platform GALA Center in the execution of customer Orders for the supply of Goods, as well as improper quality of customer service.
2. the Application can be submitted by calling the GALA Center Trading platform, by filling out the feedback form on the Website, to the postal address or e-mail address specified on the Website in the Contacts section.
3. Site Administration guarantees a specially created Commission for the verification of the facts stated in the complaints of Customers with the purpose of confirming or not confirming the facts of violations.
4. Upon confirmation of the fact of violation by Suppliers or Official partners Of the trading platform, the GALA Center Administration of the Site will take all possible measures to resolve the dispute, as well as take appropriate measures to influence persons who have violated the rights of Customers.
Personal data
1. Users (persons who provided personal data) agree that by providing personal data when registering on the Site, they have given their consent to their processing by the site Administration.
2. If the Client (the person who provided the personal data) does not wish his / her personal data to be processed, he / she must apply to the website Administration with a corresponding application. In this case, all the information received, including the user account is deleted from the database of the site Administration.
3. The site administration uses personal data:
  - to register users on the Site;
  - to fulfill its obligations to Users;
  - to evaluate and analyze the site;
  - for product promotion.
4. the site Administration takes all necessary measures to protect the user's personal data from unauthorized access, modification, disclosure or destruction. The site administration provides access to the user's personal data only to those employees, partners of the Administration who need this information to ensure the functioning of the Site and provide services to the User. The site administration has the right to use the information provided by the User, including personal data, in order to ensure compliance with the requirements of the current legislation of the Russian Federation (including for the prevention and/or suppression of illegal and/or illegal actions of Users). Disclosure of the information provided by the User can be made only in accordance with the current legislation of the Russian Federation at the request of the court, law enforcement agencies, as well as in other cases stipulated by the legislation of the Russian Federation.
5. the site Administration has the right to send advertising and information messages to the Client. If the Buyer does not wish to receive these newsletters, he must unsubscribe by submitting an application or by "clicking" on the appropriate link in the sent letter (if any).
Responsibility of the Parties
1. the site Administration is not responsible to the User for the loss of user data that occurred through no fault of the user.
2. The administration of the Site is not responsible for failures in operation or malfunction of the services, if these failures or malfunction were the result of:
  - disruption of information and telecommunication or energy networks;
  - actions of third parties aimed at unauthorized access to the software of the Site and/or the removal of the specified software from operation.
3. the User is responsible for damage caused to the site Administration due to non-compliance with the provisions of this Agreement.
4. Neither the User nor the site Administration shall be liable for full or partial failure to fulfill their obligations under the Agreement, if such failure was the result of force majeure arising after the conclusion of the Agreement as a result of extraordinary events that they could neither foresee nor prevent by reasonable measures (force majeure). Such emergency events include: flood, fire, earthquake, soil subsidence and other natural disasters; war or hostilities, embargoes, blockades, actions of the authorities impeding the implementation of the Agreement.
5. by using The Site, the User agrees that he / she downloads from the Site or through it any materials at his / her own risk and is personally responsible for the possible consequences of using these materials, including for damage that it may cause to the user's computer or to third parties, for loss of data or any other harm;
6. the site Administration or its representatives shall not be liable to the User or to any third parties for any indirect, incidental, unintentional damage, including lost profits or lost data, damage to honor, dignity or business reputation, caused in connection with the use of the site, site content or other materials to which persons have access through the site.
7. the site Administration is not responsible for any delays or failures in the process of the transaction, arising from force majeure, as well as any failure in telecommunications, computer, electrical and other related systems.
8. the site Administration is not responsible for possible technical failures and errors in the software, services of the Site. If as a result of a technical failure or error, the User has received an unreasonable benefit, the site Administration has the right to unilaterally and without notice to correct the error and/or require the User to return to the original position obtained as a result of unjustified enrichment (savings).
dispute Resolution
1. the Agreement is drawn up in accordance with the legislation of the Russian Federation. Issues not regulated by this Agreement shall be resolved in accordance with the legislation of the Russian Federation.
2. In case of any disputes or disagreements related to the execution of this Agreement, the User and the site Administration will make every effort to resolve them through negotiations. If the disputes are not resolved through negotiations, they shall be considered in the Arbitration court Of Moscow in compliance with the pre-trial dispute settlement procedure.
other conditions
1. the site Administration and the User recognize the legal force of this Agreement and consider the procedure of confirming registration and authorization on the Site through the introduction of a login and password to access the account on the Site as an analogue of the handwritten signature of this Agreement.
2. the Agreement shall enter into force upon acceptance by the User of its terms, as evidenced by the fact of putting a mark (click) in a special window on the acceptance of the terms of the Agreement, and shall be deemed concluded for an indefinite period.
3. If, for any reason, one or more provisions of this Agreement are found to be invalid or unenforceable, this shall not invalidate or render unenforceable any other provisions of the Agreement.
